Power Club’s Privacy Policy, Terms of Service and Terms of Use, read together, define the terms and conditions for the usage of our Platform. You are required to read, understand and agree to the terms and conditions outlined in all the three documents before using the platform.

These Terms of Use, read together with Power Club’s Terms of Service and Power Club’s Privacy Policy govern your use of our websites at www.power.club, and the Power Club Application (collectively “the Power Club Service”, “the Service” or “Power Club”). By using our services, you agree that you have read, understood and agree by the terms contained in this agreement and you agree to be bound by our Terms of Use (our “Terms”). If you do not unconditionally agree to the Terms contained in this agreement, please refrain from using our services.

User hereby undertakes that they are qualified to enter into a binding contract with the Service Provider. In case the user is a minor, the user undertakes that their parent or legal guardian has read and agrees to this Agreement.

The Service Provider, hereby, gives you permission to use the Service subject to your compliance with the terms and conditions laid out in this Agreement. The Service Provider reserves the right to change the Terms of this Agreement or the nature of the Service at its sole discretion.

In case of any changes in the terms of this agreement, which may materially affect your rights, the Service Provider will send a notification 15 days before these changes take place. By continuing to use the Service or entitling the Users to continue using the Service after changes are made, the Subscriber is expressing and acknowledging its acceptance of the changes.

Terms of Use for Power Coaches and Power Experts:

• You understand that you are accessing the Services at your own will.
• You understand that COPPA (Child Online Privacy Protection Act; for schools in USA) and GDPR (General Data Protection Regulation; for schools in the EU/ EEA and Switzerland) require parental consent for the collection of personally identifiable information from underage children. The responsibility of collecting parental consent rests with the Subscriber. Commonly used way of collecting parental consent is through individual parental consent forms.
• You will use the Services responsibly, and for learning purposes only and will take reasonable steps to ensure that the students in your circle also use the Services responsibly.
• You will respect the privacy of the children and only share the platform content with relevant parents and families.
• You grant the Service Provider the right to use, publish, modify, create a derivative of, market, adapt, display or distribute any content that you create using the Service. The Intellectual Property Rights of the content that you create belong to you.
• You undertake that you are the owner of or have all required rights, licenses, consents, and permissions to use any copyrighted work, including literary works, visual works, musical works, sound recordings, audiovisual works, or other work or any combination of the foregoing, of any content that you upload on the Service and grant the rights granted herein to the Service Provider.

Terms of Use for Power Users:

• You must sign up for the Service using the code provided to you via email after successful application, selection and payment. You will only use the Services if a code to sign up is provided to you by Power Club.
• If you are under 13 years of age, you must have the consent of your parent or your legal guardian to use the Services.
• You will use the Services responsibly and respect the rights and privacy of other Users.
• The Service Provider does not encourage you to share your personally identifiable information (name, phone number, email, photos, videos) publicly and advises you to refrain from sharing it publicly.
• You consent to the Service Provider storing and accessing your “Educational Records” (as defined under FERPA).

Terms of Use for Parents:

• You consent to the usage of the Services provided by the Service Provider by your child. You understand that the Service Provider may collect Personally Identifiable Information of the child for this.
• If your child is below the legal age (13 years in the USA), and are using Service without your consent, then please send an email to the Service Provider at hey@power.club with relevant details.
• You understand and agree that the Service Provider and or coaches using the Service may send you messages, alerts, and other communications through the Service, including via email, web alert, text messages, and other similar means, in accordance with the preferences you set through the Services, and you agree to accept such messages.
• You consent to the Service Provider storing and accessing the “Educational Records” (as defined under FERPA) of your child.

You will not use the Services in a manner that may violate any applicable laws, rules or regulations.

You understand that only teachers, staff members, students and parents who are current members of the Subscriber are allowed access to the Services. You undertake that you will not allow any form of unauthorised access to any personnel that are not affiliated with the Subscriber. You will not transfer or give access of your account to anyone without the written consent of the Service Provider.

You undertake that in case of termination of your association with the Subscriber, you will cease to access the Services through your school’s credentials.

You undertake that you will not help reproduce, duplicate, reverse engineer or otherwise attempt to obtain the source code of any features of the Service without Service Provider’s written consent.

You undertake that you will not share or facilitate unauthorised access to any document or other medium containing Confidential Information or Intellectual Property Rights of the Service Provider.

You undertake to use the Service for personal, non- commercial, academic purposes only.

You understand and agree that under no circumstances will Service Provider be liable in any way for any content, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred in connection with use of or exposure to any content posted, emailed, accessed, transmitted, or otherwise made available via the Services.

You warrant, represent and agree that you will not contribute any content or otherwise use the Service in a manner that (i) infringes or violates the intellectual property rights or proprietary rights, or other rights of any third party; (ii) is harmful, fraudulent, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, or otherwise objectionable; or (iii) jeopardizes the security of your account in any way, such as allowing someone else access to your account or password.

You are responsible for all of your activity in connection with the Services. Any fraudulent, abusive, or otherwise illegal activity may be grounds for termination of your right to access or use the Services.

You undertake to not post or transmit, or cause to be posted or transmitted, any communication or solicitation designed or intended to obtain password, account, or private information from any User.

You undertake to not use any manual or automated software, devices, or other processes to “crawl” or “spider” any page of the Service Provider.

• - Power Club Website: The application and selection process for users is done via the website. Users can submit an application. After careful consideration by the Power Club team, once selected, they are given access to the Power Club App.
• - Power Club App: The app focuses on fun and engaging ways for real-world learning and helps users identify career domains of their interest and build their work profile through Circles.
• - Power Club Events: Events are a great way to network with like-minded people on the platform and discover new ways to learn.

• (i) name, e-mail ID, photograph, location and other contact information
• (ii) gender and other demographics
• (iii) birth date and year to validate the current age of the User

• - System Moderation - We have strict algorithms in place to create Power Club, a safe space for our users. Content submitted on the platform including but not limited to images, videos, audios, texts will be moderated by these algorithms.
• - Manual Moderation - Power Club is a place for all learners to thrive as well as feel safe, respected and welcome. Our team of moderators review the content before it is published.
• - Peer Moderation - In addition to the Power Club team, all members of the community have the right to flag inappropriate content on the platform. All flagged content is moderated through ‘Manual Moderation’ as per the content guidelines.

• • The link is legal and not detrimental or damaging to and/or does not take unfair advantage of our reputation or business
• • Such linking is not for advertising or promotional purposes (unless We have expressly agreed to it)
• • The link is not from any website which promotes any political or religious views, or promotes or depicts intolerance, hatred, discrimination, violence, pornography or illegal activity
• • The link does not falsely or misleadingly imply or suggest that We endorse, approve of or are associated with the linked website, its web pages or any of its contents
• • Framing of any site on any other website is not allowed and You must not provide access to the site or part of it under any other URL. The Company may withdraw your right to link to any site without notice and at any time (acting in our sole discretion)
• • Any site and/or application that contains links to other websites, web pages, resources, or mobile Services - which are proprietary to third parties, other Users, advertisers or sponsors, are provided for your information only and You access them at your own risk.

• submit, post, display, transmit, perform, publish, distribute or broadcast content and materials, including, without limitation, articles, commentaries, photographs, text, music, video, audio recordings, computer graphics, pictures, data, questions, comments, suggestions or personally identifiable information on the Platform.

• • It is misleading in any way, and/or it gives a false impression as to its origins or approvals;
• • It is defamatory, plagiarized (including plagiarism from your own work), abusive, malicious, threatening, false, misleading, offensive, insulting, discriminatory, profane, harassing, racist, sexist, indecent, obscene, pornographic, hateful or it advocates violence;
• • It is in breach of confidentiality or another person's privacy or other rights, or of any duty owed by You;
• • It prejudices any active or pending legal proceedings of which You are aware;
• • It contains accusations of impropriety or personal criticism of our personnel, editors or reviewers;
• • It infringes any intellectual property rights proprietary to the Company or any third party;
• • It is technically harmful (including content containing, without limitation, computer viruses, logic bombs, trojan horses, worms, harmful components, corrupted data or other malicious software, harmful data or conduct and/or contains any other element which is intended to harm the Company or any third party, or to carry out or facilitate any fraudulent or dishonest transaction);
• • It advertises or promotes any product or Service or makes any requests for donations or financial support;
• • It is spam or junk content;
• • It impersonates another person or otherwise misrepresents your identity, affiliation or status;
• • It would be considered a criminal or statutory offence in any jurisdiction, or gives rise to civil liability, or is otherwise unlawful; and/or
• • It is in breach of these Terms and/or of any Additional Terms.

• You may remove your Content from the Service at any time. You must remove your Content if you no longer have the rights required by these terms.
• You hereby explicitly consent to your content staying up on the platform (with your name) even after you have deleted your account.
• Enforcement of these rules can take place in numerous ways such as:

  • - Banning account
  • - Removal of privileges
  • - Removal of content
  • - Restriction of account

• - Any loss or damage of any kind howsoever arising, including any direct, indirect, special, punitive or consequential loss whether or not such arises out of any problem which the Company has been made aware of
• - The accuracy, currency or validity of information and material contained within any communications or the Service
• - Any interruptions to or delays in updating the Service
• - Any incorrect or inaccurate information on the Service
• - The infringement by any person of any copyright or other intellectual property rights of any third party
• - Through any communication or use of the Service
• - The availability, quality, content or nature of External Sites
• - Any transaction involving External Sites;

• (a) in the event of any amendments made due to legal changes
• (b) in the event of any amendments made due to decisions by the legal jurisdiction
• (c) because of technical necessity
• (d) in order to maintain Company operations
• (e) in the event of a change in market conditions
• (f) for the benefit of the User.
